WordPress Support Terms of Service

The WP Service Terms is a contract for LEEDROZAK.COM to provide a one-time or on-demand service for your WordPress website.

Support Turnaround Time

Our realistic turnaround time guarantee for on-demand and WordPress support services is 48-72 hours. We can only begin the process after (1) you provide us with all of the login information requested, and (2) we verify that the credentials allow us to access your old current accounts.

The quoted turnaround time is dependent on your active participation and timely replies to our emails. We ask that you reply to any of our e-mails within 12 hours to take advantage of our turnaround time guarantee. If we don't receive a reply from you within 12 hours, then the process is "paused” and the quoted turnaround time is no longer applicable (even though we'll still do our best to complete the process as soon as possible!)

Migration Turnaround Time

Our realistic turnaround time guarantee for a fully completed and tested WP migration to your account is 48 business hours from the date and time we send you notice stating that the migration has started.

If we don't hear back from you 7 days after an information request, we'll consider the migration as "abandoned” and will cancel it without processing a refund. We may archive your files for up to 30 days (starting from the original, confirmatory email) in order to facilitate future reinstatement of the migration process, but this isn't guaranteed!

Authorization

You are engaging Lee Drozak, as an independent contractor to perform work as described in the package(s) or service(s) you have purchased. In the event access to your website is necessary, you hereby authorize LeeDrozak.com access and “write permissions” to all directories and files of your account with any other third party hosting provider, as well as permission to install any necessary WordPress plugins for maintenance and security.

Refund Policy

Client agrees to pay LEEDROZAK.COM any and all fee(s) as billed in accordance with this Agreement. The fee(s) must be received prior to the start of any Support, Migration or Maintenance Services.

THE CLIENT FURTHER AGREES THAT, IN THE EVENT OF ANY TERMINATION OF THIS AGREEMENT BY CLIENT, NO REFUNDS SHALL BE GIVEN UNDER ANY CIRCUMSTANCES WHATSOEVER. THE CLIENT FURTHER AGREES TO PAY UPON CANCELLATION THE AMOUNT OF ANY AMOUNTS DUE TO COMPANY AS PROVIDED IN THE AGREEMENT. COMPANY IS HEREBY AUTHORIZED TO CHARGE CLIENT'S CREDIT CARD ACCOUNT OR OTHER PAYMENT MECHANISM FOR ANY AMOUNTS OWED FROM TIME TO TIME BY CLIENT TO COMPANY.

Abandonment

Cancellation

Cancellation can occur at any time. You are never required to stay with us – in fact, we’d prefer you have the option to leave if you are unhappy with our service and give us feedback on how we can serve you better.
LDB may terminate or suspend any and all Services and/or immediately, without prior notice or liability, for any reason whatsoever, or for no reason, including without limitation if you breach the Terms. Upon termination of your account, your right to use the Services will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Notice

We reserve the right to modify or cancel these terms at any time. Please make sure to check this page often! Your continued use of this service after modifications have been made constitutes acceptance of the updated terms.

No Guarantee

While we’ll strive to do our best during the migration, please note that a perfect result is not guaranteed. There may be small issues with the content or structure of your WordPress site, and we aren’t able to address every single inconsistency resulting from the move. This is a process that’s manually performed by our team, and we’ll do our very best to get things working for you!

Technical Requirements

If your WordPress version is older than WP 3.7, it must be upgraded to at least WP 4.9 or newer version so critical security issues are handled first. Based on recommendations or WordPress.org, we also recommend:

  • PHP version 7.1 or greater.
  • MySQL version 5.6 or greater OR MariaDB version 10.0 or greater.
  • HTTPS support
  • Apache or Nginx

You will also be asked to provide licensing and access to accounts for a premium theme and premium plugins installed on the site you are requesting support.

We’re not a website hosting company so we don’t offer support for website hosting, email or other services relating to hosting. You may already have professional hosting and you might even manage that hosting in-house; if you do, great. If you don’t, we will recommend one of our preferred hosting providers. We can set up your site on a server, plus any statistics software such as Google Analytics and will provide a separate estimate for that. Then, the updates to, and management of that server will be up to you.

Overview of Services

Design
We create designs that adapt to the capabilities of many devices and screen sizes. We create them iteratively and use predominantly HTML and CSS so we won’t waste time mocking up every template as a static visual. We may use visuals to indicate a creative direction (color, texture, and typography.) We call that ‘atmosphere.’

You’ll have plenty of opportunities to review our work and provide feedback. We’ll either share a Dropbox, Google Drive folder or Github repository or development site with you.

If—at any stage—you change your mind about what you want to be delivered or aren’t happy with the direction our work is taking, you’ll pay us in full for the time we’ve spent working until that point and may terminate this contract.

Text content
Unless agreed separately, we’re not responsible for inputting text or images into your content management system or creating every page on your website. We provide professional copywriting and editing services, so if you’d like us to create new content or input content for you, we’ll provide a separate estimate.

Graphics and photographs
You should supply graphics files in an editable, vector digital format. You should supply photographs in a high-resolution digital format. If you choose to buy stock photographs, we can suggest stock libraries. If you’d like us to search for photographs for you, we can provide a separate estimate.

HTML, CSS, and JavaScript
We deliver pages developed from HTML markup, CSS stylesheets for styling and unobtrusive JavaScript for behaviors.

Browser testing
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Edge) and Mozilla Firefox. We won’t test in other older browsers unless we agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.

Mobile browser testing
Testing using popular smaller screen devices is essential in ensuring that a person’s experience of design is appropriate to the capabilities of the device they’re using. We test our designs in:
iOS: Safari and Google ChromeAndroid: Google Chrome
We won’t test in Opera Mini/Mobile, specific iPhone or Android devices, or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate.

Search Engine Optimization (SEO)
We don’t guarantee improvements to your website’s search engine ranking, but the pages that we develop are accessible to search engines.

Intellectual Property

We guarantee that all elements of the work we deliver to you are either owned by us or we’ve obtained permission to provide them to you. When we provide text, images or other artwork to you, we agree to protect you from any claim by a third party that you’re using their intellectual property. Provided you’ve paid for the work and that this contract hasn’t been terminated, we’ll assign all intellectual property rights to you as follows:

You’ll own the website we design for you plus the visual elements that we create for it. We’ll give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy. You own all intellectual property rights of text, images, site specification and data you provided unless someone else owns them.

We’ll own any intellectual property rights we’ve developed prior to, or developed separately from this project and not paid for by you. We’ll own the unique combination of these elements that constitute a complete design and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.

Liability

Service Provider will not be liable for loss, damage or delay of Client’s project due to circumstances beyond the Contractor’s control. Such circumstances may include (but are not limited to) acts of God, public unrest, power outages, and inability to contact Client. In the event of such loss, damage or delay, Service Provider will make every effort to notify the Client immediately.

Confidentiality

Service Provider will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Service Provider, or divulge, disclose or communicate in any manner any information that is proprietary to the Client. Service Provider will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement. Upon termination of this Agreement, Service Provider will return to Client all records, notes documentation and other items that were used, created, or controlled by Service Provider during the term of this Agreement with the exception of items purchased by Service Provider and not reimbursed by the Client.

Payment Agreement

The Client will pay compensation to Service Provider for the Services at a rate determined upon submission of the task with a minimum of $75 per month of activity. This compensation shall be payable and due upon receipt of invoice.

Jurisdiction/Disputes

This Agreement shall be governed in accordance with the laws of the Commonwealth of Pennsylvania. All disputes under this Agreement shall be resolved by litigation in the courts of the Commonwealth of Pennsylvania including the federal courts therein and the Parties all consent to the jurisdiction of such courts, agree to accept service of process by mail, and hereby waive any jurisdictional or venue defenses otherwise available to it.
